Introduction

These Terms and Conditions (“Terms”) govern your access to and use of the ixxomed.com website and the IXXO Med services (“Services”), operated by IXXO Cart Ltd, a company registered in Cyprus (“we,” “our,” “us”). By using our Services, you agree to these Terms. If you do not agree, do not use the Services.

Eligibility

You must be at least 18 years old and have the legal capacity to enter into a binding agreement to use our Services. By registering an account, you confirm that all information you provide is accurate and up to date.

Account Registration

To access certain features, you must create an account. You are responsible for maintaining the confidentiality of your login credentials and for all activity under your account. Notify us immediately if you suspect unauthorized access.

We reserve the right to suspend or terminate accounts that violate these Terms or our policies.

Services Provided

IXXO Cart Ltd provides IXXO Med, practice management software for private medical practices and clinics, and the ixxomed.com website. We may update, modify, or discontinue features at any time without notice.

To be completed by IXXO's lawyer: a medical disclaimer (the software supports but does not replace clinical judgement, and the IXXO Med app is not an emergency service) and a third party trademark notice (Apple, iPhone, Apple Watch, Apple Wallet).

Subscriptions and Payments

1. Access to premium features requires a paid subscription.
2. Fees are billed in advance and are non refundable, except where required by law.
3. Subscription plans, pricing, and billing cycles are described on our website.
4. You authorize us or our payment providers to charge your payment method automatically based on your chosen plan.
5. You may cancel your subscription at any time, but no refunds will be issued for the current billing period.

Acceptable Use

You agree not to:

• Use the Services for unlawful, fraudulent, or harmful activities.
• Upload or distribute viruses, malware, or other malicious code.
• Attempt to access, modify, or interfere with systems, servers, or networks connected to IXXO Cart Ltd.
• Use the Services to send spam or unauthorized marketing messages.
• Infringe on the intellectual property or privacy rights of others.

Violation of these rules may result in account suspension or termination.

Intellectual Property

All content, software, and materials available on the IXXO Med platform and the ixxomed.com website are owned by IXXO Cart Ltd or its licensors.

You are granted a limited, non exclusive, non transferable license to use the Services for your business purposes.

You may not copy, reproduce, distribute, modify, or reverse engineer any part of the Services without our written consent.

Data and Privacy

Your personal data and any information you upload to the platform are processed according to our Privacy Policy.

You are responsible for ensuring that your use of IXXO Med complies with applicable data protection laws, including GDPR.

To be completed by IXXO's lawyer: the processing of practices' patient data by IXXO Cart Ltd as a processor (GDPR article 28, data processing agreement) and health data as special category data (GDPR article 9).

Service Availability

We aim to provide continuous and reliable Services but do not guarantee uninterrupted access. Maintenance, updates, or unforeseen technical issues may cause temporary downtime. We are not liable for any loss or damage resulting from service interruptions.

Third Party Services

IXXO Med may integrate or link to third party tools or platforms. We are not responsible for third party content, availability, or privacy practices. Use of third party services is at your own risk and subject to their terms.

Termination

We may suspend or terminate your account immediately if you violate these Terms, fail to pay subscription fees, or engage in conduct that harms IXXO Cart Ltd or other users.

Upon termination, your right to access the Services ceases immediately. We may delete your account data unless legally required to retain it.

Disclaimers

The Services are provided “as is” and “as available” without warranties of any kind, express or implied. We do not guarantee that the Services will be free of errors, secure, or meet your specific requirements.

To the fullest extent permitted by law, IXXO Cart Ltd disclaims all warranties, including implied warranties of merchantability, fitness for a particular purpose, and non infringement.

Limitation of Liability

To the maximum extent permitted by law, IXXO Cart Ltd shall not be liable for:

• Any indirect, incidental, or consequential damages
• Loss of profits, data, or business opportunities
• Damages resulting from unauthorized access or data loss

Our total liability for any claim arising out of these Terms or your use of the Services shall not exceed the total amount paid by you in the twelve months preceding the claim.

Indemnification

You agree to defend, indemnify, and hold harmless IXXO Cart Ltd, its directors, employees, and partners from any claims, damages, or expenses arising from your use of the Services, your content, or violation of these Terms.

Modifications to Terms

We may update these Terms at any time. Continued use of the Services after changes means you accept the revised Terms.

Governing Law and Jurisdiction

These Terms are governed by the laws of Cyprus and the European Union. Any disputes shall be resolved exclusively in the competent courts of Nicosia, Cyprus.

Mobile Application Terms (IXXO Med App)

1. Scope of Application: The IXXO Med mobile application (iOS and Apple Watch; Android coming soon) is provided free of charge to patients solely to facilitate communication, appointment management, and personal health tracking between the patient and their participating healthcare provider (“Practice”).

2. No Emergency Services & No Medical Diagnosis:

• THE IXXO MED APP IS NOT AN EMERGENCY SERVICE AND DOES NOT PROVIDE MEDICAL DIAGNOSES OR IMMEDIATE CLINICAL INTERVENTION.
• IF YOU ARE EXPERIENCING A MEDICAL EMERGENCY, CALL 112 OR YOUR LOCAL EMERGENCY SERVICES IMMEDIATELY.
• Do not rely on the application for urgent medical needs or time sensitive health monitoring.

3. Practitioner Patient Relationship: All medical advice, diagnosis, treatment plans, prescriptions, and clinical decisions remain strictly between you and your healthcare practice. Neither IXXO Cart Ltd nor the mobile application provides medical services or assumes liability for clinical decisions made by your practice.

4. App Connectivity & Availability: The app operates on an “as is” and “as available” basis. Connection to your practice requires active authentication via the practice’s QR code or setup link and an active internet connection (HTTPS). Practices retain the right to revoke connection access at any time.

5. Intellectual Property & Fair Use: All rights, title, and interest in the IXXO Med software, trademarks, and branding belong to IXXO Cart Ltd (HE 417548). Users may not reverse engineer, decompile, or modify the mobile application.
